CLARITY Act Takes Aim at Stablecoin Yield Rules
The CLARITY Act is addressing one of the biggest unresolved issues in U.S. stablecoin regulation: how to distinguish legitimate crypto rewards from interest-like yield.
The GENIUS Act already prohibits stablecoin issuers from paying interest or yield directly to token holders. However, questions remained around rewards offered through exchanges, platforms or third parties.

## المشكلة الأساسية
عندما يطرح فريق مشروع توكناً جديداً لتمويل مشروعه، يشبه ذلك عملية استثمارية لأن المشترين الأوائل يراهنون على نجاح الفريق. لكن بعد سنوات، قد يتداول التوكن ذاته على نطاق واسع عبر شبكة لامركزية دون ارتباط قيمته بذلك الفريق، فيصبح أقرب لسلعة. القانون الأمريكي الحالي لا يقدم خطاً فاصلاً واضحاً، وتتنازع الصلاحية بين هيئتين: لجنة الأوراق المالية (SEC) التي تشرف على الأوراق المالية، ولجنة تداول العقود الآجلة للسلع (CFTC) التي تشرف على الأسواق الآجلة وصلاحياتها أضيق على تداول السلع المباشر.
## كيف سيعامل القانون بيتكوين
تُعامل بيتكوين حالياً كسلعة عموماً لعدم وجود جهة مُصدرة مركزية لها. وبموجب القانون الحالي، تقتصر صلاحية CFTC على مكافحة الاحتيال والتلاعب في تداول بيتكوين الفوري. أما قانون CLARITY فسيوسّع هذه الصلاحية، ليمنح CFTC سلطة تنظيم مباشرة للمنصات التي يُتداول عليها بيتكوين، وليس فقط التدخل بعد وقوع المشكلة.

## التزامات جديدة على المنصات والمشاريع
ستُلزم المنصات العاملة ضمن إطار CFTC الجديد بالتسجيل، وفصل أصول العملاء عن أموالها الخاصة، والالتزام بقواعد الإفصاح وحفظ السجلات وتضارب المصالح. أما المشاريع التي تجمع تمويلاً عبر بيع التوكنات فستحتاج لنشر معلومات عن القائمين عليها وآلية عمل تقنيتها، مع فرض قيود جديدة على سرعة بيع المطلعين لحيازاتهم.
## لماذا تأخر إقرار القانون؟
الخلاف ليس حول ضرورة التنظيم بل حول تفاصيله والجهة المخوّلة بتطبيقه، وتمحور حول ثلاث نقاط خلافية:
1. مكافآت العملات المستقرة: توصل المشرعون لحل وسط يمنع المكافآت مقابل مجرد الاحتفاظ بعملة مستقرة، مع السماح بمكافآت مرتبطة باستخدامها فعلياً — وأيدت Coinbase هذه الصيغة المعدّلة.
2. صلاحيات الولايات: يستبدل القانون بعض متطلبات الولايات بإطار فيدرالي موحد، ما يثير قلق منتقدين من إضعاف أدوات الولايات في التحقيق بالاحتيال.
3. تضارب مصالح المشرعين: يمنع المسودة الحالية المسؤولين الفيدراليين وأزواجهم من تقاضي أموال مقابل إصدار أو رعاية أصول رقمية أثناء الخدمة، مع مطالبة الديمقراطيين بقيود أكثر صرامة.
## إذا أُقر القانون
ستحصل شركات العملات الرقمية على إطار فيدرالي أوضح للتسجيل والعمل في الولايات المتحدة، وقد تُعدّل شركات وبورصات خارج البلاد ممارساتها لمواءمة هذا الإطار نظراً لحجم السوق الأمريكي.
## إذا لم يُقر القانون
لن تصبح العملات الرقمية بلا تنظيم، إذ يستمر تطبيق القانون الحالي عبر المنظمين والمحاكم والولايات، لكن الفارق سيكون في التوقيت — إذ تتضح الحدود القانونية عادة بعد إطلاق المنتج، غالباً بعد وقوع مشكلة، بينما يسعى القانون لتحديد هذه الحدود مسبقاً.
