How can you trade a company whose shares are not yet listed on an exchange?
When I first saw the Pre-IPO Perpetual, I thought:
“So basically, this is a share before the IPO?”
No. And that’s where it gets really interesting.
Pre-IPO Perpetual is a derivative, not an ownership stake in the company.
I don’t become a shareholder and I don’t receive any rights as an equity owner.
Before the IPO, the contract is based on the company’s expected valuation and available pricing signals—not on the share price, which hasn’t been listed on an exchange yet.
And then it gets even more interesting.
When the company goes public, the contract can shift from pricing based on the anticipated valuation to tracking the real market price of the stock.
So one instrument goes through two phases:
before the IPO → expected valuation
after the IPO → market price
That’s why I wouldn’t call Pre-IPO Perpetual a “chance to buy a stock before the IPO.”
You don’t buy a stock.
You trade the expectation of what it might be worth before an exchange quotation even appears.
And that’s a different risk structure.
An IPO can be delayed, conditions can change, and the final valuation may differ from expectations. That’s why Binance warns about the high risks of Pre-IPO.
What I like most here is this boundary:
you can gain exposure to a future public asset without actually owning the asset itself.
