Exchange #NASDAQ sent a warning letter to the public company TON Strategy regarding a violation of listing rules. This occurred after the company purchased Toncoin tokens $TON for a total of $272.7 million.
The violation is related to the lack of shareholder approval during the fundraising through private investments in public equity (#PIPE ).
According to an 8-K report sent to the U.S. Securities and Exchange Commission, Nasdaq determined that TON Strategy issued shares without shareholder consent. At the same time, the volume of the placement exceeded the established threshold of 20% of the total number of securities in circulation.
The company, previously known as Verb Technology, announced a fundraising of $558 million in August 2025. This decision was made jointly with the Kingsway Capital fund to create the TON Treasury Strategy Company. Almost half of these funds — 48.78% — were directed towards the purchase of Toncoin, which caused the violation.
