According to reports,
Amazon plans to use a special purpose vehicle (SPV)
to sell approximately $8 billion worth of NVIDIA AI chip assets
to outside investors

Then it rents them back to keep using them

selling your house to someone else,
but you still live in it

This trick by Amazon is still really smart
They can use chips as financing too

Why do this?
The main reason
is to optimize the balance sheet
High-end AI chip procurement costs a fortune
Buying chips in large quantities ties up massive capital
By spinning off the chip assets
and having external investors pay to hold them,
Amazon only pays rent
which can ease the pressure on capital expenditures

How exactly would they do it?
Set up an independent SPV holding platform for the chips
SPV issues bonds to raise financing
Amazon plans to transfer up to 10% of the equity in the platform
Amazon itself will no longer hold any SPV shares

Once they do this,
the chip hardware remains in Amazon’s data centers
the compute supply won’t be interrupted either
and customers won’t be affected

What does this show?
