Circle chi tiền mua hơn 1.000 bằng sáng chế blockchain từ IBM, vươn lên dẫn đầu Mỹ dù IBM vẫn hậu thuẫn đối thủ Open USD.
Circle, công ty đứng sau đồng USD số USDC được hàng triệu người trên thế giới sử dụng cho thanh toán, tiết kiệm và chuyển tiền quốc tế, vừa hoàn tất thương vụ mua lại thư viện bằng sáng chế blockchain mà IBM đã dành hơn một thập kỷ để xây dựng.
Thương vụ được công bố ngày 27/7 trao cho Circle quyền sở hữu hơn 1.000 bằng sáng chế blockchain đã được cấp cho IBM trên toàn cầu, bao gồm hơn 680 họ bằng sáng chế trải rộng từ công nghệ blockchain nền tảng, ngân hàng, dịch vụ tài chính, bảo hiểm, hạ tầng doanh nghiệp, xác minh chuỗi cung ứng đến vận hành đám mây an toàn.
Đây là bước dịch chuyển đáng chú ý bởi tính đến tháng 12/2025, công ty phân tích bằng sáng chế PatSnap ghi nhận IBM sở hữu tới 790 bằng sáng chế blockchain tại Mỹ, nhiều hơn bất kỳ doanh nghiệp Mỹ nào khác, trong khi Bank of America đứng thứ hai với khoảng 200 bằng sáng chế.
Trong khi đó, Circle mới chỉ nhận bằng sáng chế đầu tiên vào tháng 12/2023, liên quan đến kỹ thuật xử lý song song dữ liệu blockchain, và gần như không có tài sản sở hữu trí tuệ đáng kể trước thương vụ này.
Về mặt chiến lược, Circle cho biết vị thế sở hữu trí tuệ được mở rộng sẽ trực tiếp hỗ trợ nền tảng công ty trong việc xây dựng hệ thống tài chính trên internet, bao gồm USDC, Circle Payments Network, blockchain riêng Arc tập trung vào thanh toán cho lĩnh vực tài chính tổ chức, cùng danh mục ngày càng mở rộng các sản phẩm trên chuỗi và công cụ tài chính tác nhân – những chương trình phần mềm sử dụng AI có khả năng tự động thực hiện giao dịch mà không cần con người can thiệp ở từng bước.
Bà Sarah Wilson, Tổng cố vấn pháp lý kiêm Thư ký doanh nghiệp của Circle, nhấn mạnh rằng sở hữu trí tuệ đóng vai trò thiết yếu trong việc thúc đẩy sứ mệnh của công ty và mở rộng khả năng ứng dụng hạ tầng trên chuỗi.
Đáng chú ý, trước thương vụ này, Circle đã là thành viên của LOT Network – liên minh bảo vệ các công ty trước nguy cơ bị kiện bởi những tổ chức chuyên đầu cơ bằng sáng chế. Với gần 1.000 bằng sáng chế hiện có, Circle giờ đây sở hữu đủ tài sản sở hữu trí tuệ để chủ động khởi kiện nếu muốn, dù công ty chưa tiết lộ kế hoạch cụ thể theo hướng này.
Nghịch lý từ phía IBM: vừa bán tài sản, vừa hậu thuẫn đối thủ của Circle
Điểm đáng chú ý nhất của thương vụ nằm ở vị thế mâu thuẫn của IBM. Cùng lúc bán tài sản sở hữu trí tuệ nền tảng về blockchain cho Circle, IBM vẫn là đối tác đã được xác nhận của Open Standard – liên minh đứng sau stablecoin Open USD, tài sản mã hóa được neo giá 1:1 với đồng USD, ra mắt ngày 30/6 với hơn 140 đơn vị hậu thuẫn gồm Visa, Mastercard, Google, BlackRock, Stripe và Coinbase.
Khác với mô hình của USDC, Open USD phân phối trực tiếp thu nhập từ tài sản dự trữ cho các đối tác phân phối thay vì giữ lại khoản thu này, một cơ chế được thiết kế nhằm làm suy yếu chính nguồn doanh thu mà Circle đang phụ thuộc vào.
Nói cách khác, IBM đã bán cho Circle công cụ pháp lý để bảo vệ vị thế công nghệ, trong khi đồng thời hậu thuẫn một đối thủ được xây dựng để giành lấy thị phần của USDC. Diễn biến này không ngăn được phản ứng tích cực từ thị trường: cổ phiếu CRCL của Circle tăng 2,57% trong phiên giao dịch ngày thứ Hai ngay sau khi thông tin thương vụ được công bố.
