The main obstacle to staking inside a US spot $ETH fund is a tax rule, not securities law.

The fund has to keep its investment-trust tax status, and staking puts that at risk. H.R. 10357, the Digital Asset Tax Certainty Act, cleared House Ways and Means on 16 September. As reported, it lets qualifying investment trusts stake without losing trust status.

A large share of US institutional money can legally own only a registered wrapper like these funds.

Two limits. Committee passage is not law, and the House leaves today until 9 November, so no floor vote before the lame duck. Staking rewards also stay ordinary income when received; the deferral is not in the text.

The flows did not wait. US spot $ETH ETFs had net outflows of $224M on 16 September, $110.03M of it from ETHA, and $365.47M across 15-16 September.
