Meta will distribute one non-voting Class C share for each share held, creating stock it can sell to raise funds without diluting shareholders’ voting power. The plan, recommended by an independent-director committee, comes as third-quarter free cash flow was negative $2.12 billion and capital spending reached $34.91 billion, according to BeInCrypto. The new class takes effect on January 19, 2027; a separate agreement generally requires sales of 80% of Mark Zuckerberg’s Class C shares to be matched by a sale or conversion of his voting stock. Meta has not set a timeline for selling the shares.
