MemeCore Enters Nasdaq Through $1 Billion Deal

MemeCore, a blockchain ecosystem built on meme culture, has announced a $1 billion strategic transaction with ZeroStack (NASDAQ: ZSTK), a public company focused on decentralized AI infrastructure, involving Puple AI Inc. and Blockcat Pte. Ltd., principals of the MemeCore ecosystem.
Under the agreement, Puple AI and Blockcat will contribute 925,925,926 MemeCore ($M) tokens to ZeroStack. The tokens are valued at $1.08 each, for a total of $1 billion. In return, the companies will receive 3.5 million ZeroStack shares and pre-funded warrants for up to 36.2 million additional shares.
The warrants have an agreed value of $25.19 per share, more than 12 times ZeroStack’s recent market price. The additional shares can only be issued after approval by ZeroStack shareholders under Nasdaq rules. They will also be subject to a lock-up period of up to ten years.
The transaction will give MemeCore greater exposure to public markets and create a new connection with ZeroStack’s decentralized AI strategy. The companies plan to explore cooperation in decentralized AI, digital assets, consumer applications and blockchain-based economies.
