As of today, the exchange technology terms between Nasdaq-listed TROOPS and Italy’s Young Platform are officially binding.

The terms were signed on October 30 and took effect on November 1. The next step is to sign a formal licensing agreement. TROOPS plans to team up with EFFORCE Group to build a digital asset exchange using Young Platform’s proprietary platform.

The technology package includes six components: source code, a matching engine, wallet management, back-office management tools, technical documentation, and deployment support. Founded in Turin in 2018, Young Platform has been authorized by Italy’s CONSOB as a MiCA crypto-asset service provider, covering custody, order execution, and portfolio management. TROOPS’ core businesses have traditionally been mortgage lending, real estate investment, and visa consulting. It has also appointed Jacopo Visetti and Sergio Carloni to bring in technical and industry expertise.

This looks to me like a classic case of renting technology to save time. Building a matching engine and wallet from scratch would take too long; adopting a ready-made system that has already cleared compliance hurdles can shorten the time to launch. But the real test still lies ahead.

What do you think they’ll prioritize: getting the trading features up and running, or making sure the licensing and compliance story checks out?

Once the formal licensing agreement comes out, I’ll take a close look at whether it includes a launch timeline and details on fees and revenue sharing.
