Standard Chartered brings Zodia back into the banking fold: custody consolidated, software spun offShareholders accepted the non-binding offer in May, but it wasn’t until today that Standard Chartered signed the definitive agreement: Standard Chartered I H Limited intends to acquire 100% of Zodia Custody Limited. The price hasn’t been disclosed, and the deal is still subject to regulatory approval and closing conditions—the keys haven’t actually changed hands yet.
The business is being split in two. The regulated custody business (operating entities in Singapore, Hong Kong, Australia, the UAE, Luxembourg and elsewhere) will be folded into Standard Chartered Securities Services, alongside the bank’s own digital asset custody business. The software and professional services business will be spun off into an independent company under SC Ventures, called Zodia Solutions—with Standard Chartered itself also becoming a customer. Northern Trust, NAB Ventures, SBI Ventures, Emirates NBD, Investcorp and others will remain on the software side.
