US stocks closed lower Monday — and the FTC just went after the biggest cash cow Amazon has left.
The market: Dow -0.7% (53,185.90), S&P 500 -0.33% , Nasdaq -0.12% . The driver wasn't earnings — it was the Strait of Hormuz: US–Iran clashes resumed, Brent ($BZ ) blew past $90 , and energy was the only sector that worked (+0.9%).
The lawsuit: The FTC + 22 state AGs sued Amazon in the Western District of Washington over a "secret ad surcharge scheme" — alleging it overcharged 1.2M+ advertisers by $20B+ since 2019 through undisclosed surcharges and artificially inflated auction rates. Sponsored Products advertisers paid their own bid price ~30–40% of the time in 2021 — but ~80% by 2024 . Over 500K small businesses allegedly hit.
Amazon's reply: "Misguided" — its auctions prioritize product relevance over bids, and it claims the system actually saved advertisers $8B over five years.
The hit: $AMZN slid ~ 2.5% in after-hours trade (~$259.77). This is the second federal antitrust front against the company — ads were a $68.6B revenue line in 2025, the fastest-growing part of the business. The FTC wants an injunction + restitution, not just a fine.
