SEC latest stance: Token buybacks and network upgrades are not the same as securities!

The SEC’s latest update to its FAQ on crypto assets has sent an important signal:
Token buybacks, network upgrades, and maintenance, in themselves, do not automatically turn a token into a security.

Specifically:
① Token buybacks
If a network that is already operating normally announces a buyback plan, SEC staff believe that a simple buyback action alone is not enough to constitute an investment contract.
But if a project has not launched yet and packages the buyback as “future returns,” the situation may be different.

② Network upgrades
A blockchain that is already running and continues with security maintenance, performance optimization, and functional upgrades will not be automatically deemed to have securities characteristics merely because the development team remains actively involved.

③ The key is still “expectations of profits”
If the project’s promotional focus is on network functionality and practical use, it generally won’t be enough, by itself, for promotional materials to form an investment contract.

However, if future price increases and investment returns are continually emphasized, the regulator’s analysis may be completely different.
So the core of this SEC update is not to “stamp” all tokens.

More accurately, it further clarifies that:
For the same kind of action, whether it is a securities-related action depends on whether the token has already had functional capabilities, what the project team has done, and how it is marketed to the market.

The significance for the entire Crypto industry is that:
Buybacks, upgrades, development, and marketing—actions that previously often raised regulatory questions—now have a clearer analytical framework.

Next, the focus will be on:
Whether the SEC will continue to further refine token classification
How projects adjust their buyback and marketing approaches
Whether the U.S. crypto asset regulatory framework will further be clarified

In one sentence:
Crypto regulation is shifting from “whether this token is a security” to “what this token specifically does and what the project team specifically promises.”
