Ondas Inc. shares traded at $7.76, up 0.45%, after recovering from an early session low near $7.55. The company announced three defense technology acquisitions valued at $56 million in combined consideration. The deals expand Ondas’ portfolio across drone detection, resilient communications, navigation, and remote unmanned operations.
$56M Acquisitions Expand Ondas’ Defense Technology Stack
Ondas acquired Insignito, Ottopia Defense, and Caribou Labs to strengthen its defense and autonomous systems business. The companies add technologies already used in conflict environments and products positioned for near-term mission integration. Ondas plans to combine those capabilities with its existing platforms, sensors, software, and mission systems.
The company will pay $56 million using cash or Ondas common stock. Ondas said the price equals less than three times the businesses’ expected combined 2027 revenue. The agreements also include potential earnout payments totaling up to $32 million through 2028.
Those additional payments depend on the acquired businesses meeting specified performance milestones. Ondas can settle the earnouts with cash or common stock under the transaction terms. The structure also links part of the total consideration to future operating performance.
Insignito Adds Acoustic Detection for Counter-Drone Missions
Insignito develops passive acoustic systems that detect, classify, track, and locate drones through their sound signatures. Its DUMBO system can identify threats without transmitting radio-frequency or electromagnetic signals. The technology targets small drones, FPV systems, low-altitude threats, and autonomous platforms operating without active radio links.
The system uses real-time signal processing, acoustic models, and proprietary algorithms to identify unmanned aircraft. Ondas plans to pair the technology with radar, radio-frequency, and electro-optical sensors. This combination adds an independent detection layer to the company’s counter-unmanned aircraft systems offering.
Insignito also develops WaveGuide, Silent Propellers, and the Banshee interception system. These products cover mission planning, acoustic signature reduction, and drone interception. Together, they extend Ondas’ capabilities beyond detection into planning, protection, and response functions.
Ottopia and Caribou Strengthen Remote Control and Resilient Communications
Ottopia Defense provides software and communications infrastructure for unmanned platforms, remote operators, and command centers. Its technology carries video, telemetry, mission data, and commands across harsh or bandwidth-constrained environments. The platform also supports remote control when battlefield connectivity becomes unreliable or disrupted.
Ottopia combines autonomy, low-latency teleoperation, remote control, and resilient communications within one platform. Its one-to-many architecture allows fewer operators to supervise several unmanned systems from centralized or distributed command locations. Ondas plans to use the technology with unmanned ground platforms, including Iron Wave.
Caribou Labs adds communications, positioning, timing, and identification capabilities for GNSS-denied environments. Its technology supports operations when GPS signals or digital infrastructure become unavailable. Ondas expects Caribou to strengthen connectivity, navigation, identification, and regulatory functions across aerial, ground, and command platforms.
