Today the comment window closes on what one analysis calls the most significant regulatory action in crypto history — and almost nobody is watching.

The SEC's proposed Regulation Crypto Assets (filed August 18) sets the first purpose-built federal regime for token offerings: a startup exemption up to $5 million over four years, fundraising tiers up to $75 million, and a safe harbor letting a token exit "investment contract" status once the issuer's work is done. Comment closes October 20; after that, the framework hardens around whatever is on the table.

The context matters. Congress failed to pass the CLARITY Act by one Senate vote in September — 49 to 50 — so the SEC and CFTC are writing market structure themselves, piece by piece, under existing authority.

The caveat: this is a proposal, not law. SEC Chair Paul Atkins said himself that legislation "remains indispensable." Rules can be unwound by the next Commission; statutes survive.

The door is closing on public input. What would you file in the final hours? NFA. DYOR.
