Singapore-based Genius Group announced a capital plan to fund its board-approved dual treasury, targeting $2 billion in total assets by fiscal 2031. According to ChainCatcher, the plan includes an AI Treasury target of $800 million and a Bitcoin Treasury target of $827 million.

The company said it aims to use perpetual preferred securities to maximize net asset value per share and minimize dilution to common shareholders. Genius Group plans to use its $1.2 billion shelf registration, which the SEC declared effective on July 18, 2025, to issue publicly registered perpetual preferred securities and fund the dual treasury in an accretive manner.

Genius Group plans to raise an initial $12.5 million through preferred shares that are expected to be non-convertible, floating-rate, and paid monthly. The proceeds would be used for the company’s AI Treasury, Bitcoin Treasury, and a U.S. dollar reserve equal to about 18 months of preferred dividends. The company said it has begun discussions with investment banks experienced in preferred securities and digital asset financing, while final terms and timing remain subject to confirmation.
