๐Ÿ‡บ๐Ÿ‡ธ SEC Clarifies: Token Governance Voting Alone Does Not Constitute Centralized Control

The U.S. Securities and Exchange Commission (SEC) has updated its crypto classification FAQs, clarifying that participating in token governance votes does not automatically make holders part of a centralized management group.

According to SEC staff, token holders are not necessarily considered a central authority if they have no separate coordination agreements and do not exercise control over a network's operations, economics or governance. However, the guidance reflects non-binding staff views, not a formal SEC rule.

The bigger picture: Regulatory clarity around decentralized governance could reduce uncertainty for DAOs, DeFi protocols and tokenized financial ecosystems, helping bridge decentralized innovation and institutional adoption.
