American Bitcoin Corp. (Nasdaq: ABTC), a Bitcoin ($BTC) accumulation platform with ties to the Trump family, is set to execute a 1-for-15 reverse stock split effective at 5:00 p.m. on July 2, 2026. The move will reduce its outstanding shares from over 1.09 billion to approximately 73 million, a dramatic 93% cut.
The split was approved by shareholders at the company's annual meeting on June 22, where nearly 93.56% of voting shares were represented. Trading on a reverse split-adjusted basis will begin on July 6 under the same ticker, ABTC, on the Nasdaq Capital Market.
Every 15 shares of Class A and Class B common stock will reclassify into one share. The company has no Class C shares outstanding. Post-split, the share count will consist of roughly 24 million Class A shares and 49 million Class B shares. Authorized shares and par value remain unchanged.
In addition to the split, shareholders elected Asher Genoot as a Class I director and ratified KPMG LLP as the company's auditor for the fiscal year ending December 31, 2026.
American Bitcoin traces its origins to American Data Centers, which rebranded in March 2025 when Eric Trump and Donald Trump Jr. partnered with mining firm Hut 8. Hut 8 contributed mining assets for an 80% stake, while the Trump family and American Data Centers shareholders held the remainder. Eric Trump serves as co-founder and chief strategy officer.
The company went public through a merger with Gryphon Digital Mining, using its Nasdaq listing rather than a traditional IPO. It began trading in September 2025 as a pure-play Bitcoin miner and treasury platform. Its Bitcoin reserve has since grown past 6,000 BTC, though the stock has experienced sharp volatility amid broader crypto market swings.
