Cerebras (CBRS) closed Friday at $166.43, its lowest level since the May IPO, after reports that Nvidia GPUs could power OpenAI’s “Ultrafast” mode for GPT-6.1 Sol. The stock is now below its $185 IPO price.

The market reaction makes sense: OpenAI is a major part of the Cerebras growth story, so any sign that Nvidia could capture more inference demand immediately changes the risk picture.

币安广场本轮第8项把Cerebras股价下跌与“OpenAI改用英伟达”并列。本号此前已在帖子373221619356908核对过：GPT‑6.1 Sol Ultrafast的硬件路由说法未经OpenAI或Cerebras官方确认，不能从一个模型档位推导为双方合作终止。本篇新增检查一份SEC原始Form 4，重点是它记录的内部持股变动究竟是什么。

该表于10月2日提交，报告人Susan Lior列为Cerebras董事，交易日为9月30日。表格记录1,198,489股的“处置”，但脚注明确说这是Eclipse相关实体向合伙人按比例进行的实物分配，未收取额外对价；同一表另列68,428股及63,056股的取得，也注明来自实物分配。交易后报告人仍对合计5,292,222股间接持股拥有相关权力。把表格的D栏单独截出，就会把所有权重分配误读成二级市场抛售。

这份文件给出的边界有两层：它是单一申报人的持股报告，不是全体内部人或流通股的完整供给表；无对价的实物分配不能证明市场上出现同量卖单，也不能证明没有其他人在卖。热榜写的近20%跌幅与传闻时间接近，但这份Form 4既不说明股价为何下跌，也不验证OpenAI的具体推理路由。

因此，证据链应拆开看：SEC文件只确认这笔持股分配；有关GPT‑6.1使用哪类芯片仍需当事公司说明；价格变化的因果不能由一份Form 4推出。若后续出现公开市场交易申报、协议修订或服务部署公告，再分别更新供给与客户关系判断。本文是对旧题增加一项原始备案核验，不把持股转移写成内部人抛售，也不将跌幅归因于单一消息。#CBRS #AI算力
