Anthropic Files S-1, Plans Nasdaq Listing Under ANT

Anthropic has publicly filed an S-1 registration statement with the U.S. SEC, proposing to issue Class A common stock on Nasdaq under the ticker ANT, with Goldman Sachs and Morgan Stanley as underwriters. The number of shares to be offered and the price range have not yet been determined, and the registration statement has not yet become effective.

The prospectus disclosed revenue of $16.286 billion in the first half of 2026, about 13 times the amount for the same period last year. Operating losses narrowed to $693 million, while net losses reached $80.7 billion, mainly due to non-cash accounting adjustments related to convertible notes and other items. The company said it may not achieve or maintain profitability in the future.

A subsequently updated IPO filing disclosed third-quarter results for the first time: operating profit swung from a $974 million profit in the second quarter to a $567 million loss, primarily due to $5 billion in high-cost, short-term computing capacity and $2 billion in non-cash expenses for employee donation matching. The updated filing also showed total commitments under computing capacity and infrastructure contracts of about $895.4 billion, of which $447.5 billion must be paid before 2031; only $213.8 billion is cancellable or conditional. After the listing, the Long-Term Benefit Trust can appoint four of the seven directors. The seven co-founders collectively control 50.1% of the voting rights, giving common shareholders limited influence over the composition of the board.
