The market doesn’t seem convinced by this “powerhouse partnership.” Reports say Marvell is in talks to acquire optical communications maker Lumentum. After the news broke, MRVL fell as much as about 13% intraday.

In theory, the deal targets a high-growth segment of AI data centers: Marvell specializes in custom chips, networking, and storage, while Lumentum would strengthen its capabilities in optical transceivers, lasers, and data center interconnects. If integration goes smoothly, the two companies could share in the long-term benefits of high-speed data transmission across computing clusters.

But the share-price drop suggests investors are more concerned about three things: whether the acquisition premium is too high, whether the financing arrangements will dilute returns, and whether the two businesses can truly work together. In semiconductor M&A, a good asset doesn’t automatically make a good deal. Strategic narratives ultimately have to stand up to scrutiny of the price and balance sheet.

For the crypto and AI supply chains, this is also a reminder: optical communications and high-speed interconnects remain core infrastructure, but valuations already reflect a great deal of optimism in the near term. Delivering on future orders and the cost of acquisitions matter just as much.
