Strategy preferred shares switch to “daily dividends”: passed with 99.3% approval; STRC to accrue interest daily starting November 1
Preliminary results of Strategy’s October 28 special shareholder meeting: amendments passed with 99.3% approval. The company’s four preferred shares—STRF/STRC/STRK/STRD—will have a record date every calendar day, including weekends and holidays (company 8-K/Decrypt/Cointelegraph).
STRC’s first daily record date is November 1, with interest paid on November 2; STRF/STRK/STRD take effect on January 1, 2027, with interest paid on January 4. Annualized dividend rates remain unchanged at 8%–12% (STRC floats at around 12%), and total dividend obligations are unchanged; board action and the amended documents still need to take effect.
Dividends for weekends and holidays will be combined, with ex-dividend dates on the previous trading day and payment made together on the next business day. Due to T+1 settlement, buying on Friday won’t qualify you for the three days of dividends from Friday through Sunday.
Meanwhile, BTC fell below $80,000, with approximately $356 million in liquidations over 24 hours (CoinDesk).
【Opinion】
This makes preferred shares feel like “on-chain yield tokens”: funds arrive daily, with no delay in compounding. The goal is to attract more yield-seeking capital and reduce volatility in the preferred shares, making it easier for Strategy to keep issuing preferred shares to raise funds for BTC purchases. Essentially, it’s the productization of a financing tool. The benefit is that it extends the runway of Strategy’s “ammunition”; however, fixed/floating dividend payments of 8%–12% are a rigid cost, and the weaker BTC gets, the greater the pressure to cover that cost.
【Opportunities/Risks】
• Watch trading volume after STRC launches in the first week of November and whether it remains stable around par—this is a gauge of demand for “digital credit.”
• If preferred share issuance accelerates, Strategy’s pace of accumulation could become a source of buying demand for BTC around the $78,000–$80,000 range.
• Risks: dividend coverage and mNAV compression if BTC continues to weaken; tonight’s U.S. GDP and PCE data, along with the ECB decision, could amplify volatility.
Would you buy preferred shares in a BTC treasury offering a 12% yield for “daily payouts,” or do you favor holding spot BTC directly?
