According to Bloomberg, semiconductor company $MRVL is in advanced talks to acquire data-center optical components maker Lumentum ($LITE ), with a deal announcement possible as early as next week, though the talks could still fall apart. $MRVL has a market capitalization of about $221 billion, while $LITE is worth about $83 billion. If completed, the deal would rank among the largest tech acquisitions in history. The market’s initial reaction was typical: the buyer’s shares fell about 8%–9% after hours, while the target’s rose about 9%–11%. The pressure on the buyer is easy to understand: it has less than $4 billion in cash, and swallowing a target worth nearly $83 billion would almost certainly require a combination of stock issuance and borrowing. That would add integration risks and fuel doubts that it is “buying at the peak of the AI cycle.” Meanwhile, the seller is being labeled expensive, despite having already booked orders for its products through 2029 and being on track to more than double its revenue this year. What makes this deal unusual is the buyer’s desire to fill gaps in its in-house photonics capabilities and bring chip design and the optical-module supply chain under one roof. The question is whether $MRVL is positioning itself for the next phase of AI infrastructure—or laying the groundwork for impairment losses from a peak-priced acquisition.
