SpaceX and Tesla have formed independent special committees of their boards to discuss a potential merger, but Elon Musk also stressed that the deal should not be treated as a foregone conclusion. What the crypto market should really be watching is not “Musk is building another huge company,” but whether the BTC on both companies’ balance sheets would be repriced by the market if the deal enters substantive negotiations.
First, let’s clarify the facts. In its SEC filing dated June 30, 2026, SpaceX disclosed that it held 18,712 BTC, with a cost basis of approximately $661 million and a fair value of approximately $1.098 billion at the time. Tesla’s filing for the same period disclosed that it held 11,509 BTC, purchased at a cost of approximately $386 million. Together, the two companies held approximately 30,221 BTC, but this is simply the sum of two separate financial disclosures. It should not be described as a completed merger, nor should it be taken to mean that either company will buy or sell BTC as a result.
This is also the first way the event could affect BTC: merger discussions could turn “corporate BTC holdings” from the strategy of a single company into a matter of governance, exchange ratios, debt arrangements, and liquidity management. The special committees of SpaceX and Tesla have not announced any transaction terms, and Musk is not the final decision-maker on either committee. So for now, the most that can be said is that a potential transaction has drawn more market attention to how approximately 30,000 BTC might be managed; it does not mean that new spot buying has emerged.
The second channel is risk transmission. If the market interprets a potential merger as strengthening synergies in AI, satellite communications, robotics, and energy, risk appetite could first affect related stocks and then indirectly spill over to BTC. If investors are concerned about valuation, related-party transactions, or the exchange ratio, risk assets could instead come under pressure first. This chain involves at least two layers—corporate transactions and capital-market sentiment—so changes in Tesla’s share price or SpaceX’s valuation cannot be treated directly as causal signals for BTC.
As of 03:24 Beijing time, Binance BTC/USDT spot was approximately 84,404.08 USDT, up about 2.414% over 24 hours, with quoted trading volume of approximately 1.309 billion USDT; [BTC/USDT spot trading page](https://www.binance.com/en/trade/BTC_USDT). The latest BTCUSDT USDⓈ-M perpetual price was approximately 84,365.90, up about 2.422% over 24 hours, with open interest of approximately 98,470.567 BTC and a latest funding rate of about +0.000915%; [BTC/USDT USDⓈ-M perpetual trading page](https://www.binance.com/en/futures/BTC_USDT). Both markets were verified as tradable, but the similar gains in spot and perpetual markets only indicate that the market is currently strengthening in tandem; they do not prove that the rise was driven by the merger discussion.
Looking at the 4-hour candles that have closed, the BTC candle for October 21, 12:00–16:00 UTC, closed at 84,540.01, with approximately 457 million USDT in trading volume. The high near 84,898 observed at present is still intraday data. My view: in the short term, watch whether the area around 84,900 is confirmed again after the close, and whether rising perpetual open interest is accompanied by spot trading volume, rather than chasing the headline “merger = bullish for BTC.” If formal transaction terms, a clear plan for retaining or disposing of BTC assets, or disclosures of changes in either company’s BTC holdings emerge later, the event could shift from a sentiment-driven theme to balance-sheet pricing. If the special committees make no substantive progress or the transaction is rejected, any BTC premium associated with this narrative should also unwind quickly.
