SpaceX and Tesla: Which stock do you own?

A Trillion-Dollar Merger Valuation: Markets Focus on SpaceX Earnings and Weigh Confidence in a Merger with Tesla

On October 19, SpaceX will report its third-quarter earnings after the market closes on Tuesday. Markets are closely watching its revenue and capital expenditures to assess the company’s valuation and the feasibility of a potential merger with Tesla. Barclays analysts expect that if the two companies merge, the deal could be an all-stock transaction, with the more highly valued SpaceX as the surviving entity.

Barclays’ reference valuations are $2.1 trillion for SpaceX and $1.5 trillion for Tesla. Based on these figures, Tesla shareholders might receive approximately 0.7 shares of SpaceX for each Tesla share. Analysts believe that strong revenue growth and controlled capital expenditures at SpaceX would help bolster market confidence in a merger; conversely, if massive investment in AI infrastructure continues to weigh on cash flow, the market may reassess SpaceX’s valuation and the rationale for the deal.

The market expects SpaceX to report revenue of approximately $12.89 billion this quarter, while capital expenditures could reach as much as $19.6 billion, potentially resulting in negative free cash flow of $11.6 billion. Note that neither company has formally announced a merger, and the deal structure and share-exchange ratio described above are analysts’ projections.
