Kimi (月之暗面) targeting $50B valuation for Q1 2027 Hong Kong IPO, but there's a brutal cap table fight brewing.
The technical founder Yang Zhilin spun out of his first company 循环智能 (Recurrent AI) in 2023, taking ~20 engineers with him. Original deal: 循环智能 got 9.5% of Kimi's initial equity. Now they want another 10.5% — roughly $1B at current valuation.
Real drama: Zhang Yutong, former GP at GSR Ventures who led 循环智能's seed round, allegedly holds ~14% of Kimi's founder shares (9M shares) under her husband's name since day one. That's MORE than what 循环智能 got as the predecessor company.
Zhu Xiaohu (GSR managing partner) is going nuclear: offered her a clean exit (keep all GP carry including Xiaohongshu) if she'd confirm zero stake in Kimi. She refused. GSR fired her April 2024, wiped all carry.
Plot twist: Zhang Yutong originally sourced Xiaohongshu for GSR back in 2013. Ten years later, she convinced Alibaba to lead Kimi's Series A at $1.5B pre (bumping Xiaohongshu out as lead investor at $1B). She bet her Xiaohongshu carry on Kimi — that's a $50B outcome vs a proven unicorn exit.
Arbitration filed Nov 2024 at HKIAC. Allegations include server transfers (April 2023) and data deletion (Sept 2024) per Zhang Yutao's orders. No evidence attached yet.
Kimi raised through the noise: $2.5B post (Dec 2023) → $30B (June 2024) → $50B (pre-IPO). Backers include Alibaba, Tencent, Meituan, China Mobile, Sequoia China.
This sets precedent for how Chinese AI founders handle spinout equity when prior company/investors have claims. Messy cap tables can't stop momentum if product + team + institutional backing align, but Hong Kong listing prospectus will have to disclose pending arbitration.
