Omron announced plans to acquire US industrial computer manufacturer OnLogic and its parent company, Interlogic, in an all-cash deal through a reverse triangular merger, for a total transaction value of approximately $675 million. A special-purpose company established by Omron in the US will merge with Interlogic, which will become a direct, wholly owned subsidiary of Omron, while OnLogic will become an indirect subsidiary. After the acquisition is completed, OnLogic will continue to operate as an independent business, retaining its existing brand, direct-sales model, and executive team led by CEO Sean Larkin. Omron said the move is intended to focus its industrial automation business on on-site digital transformation and the development of physical AI platforms, while expanding its market reach through the two companies’ sales channels.
