Evernorth Holdings announced on October 9 that it had completed the closing of its business combination with special purpose acquisition company Armada Acquisition Corp. II. A Nasdaq trading notice updated the same day stated that the post-merger entity, Evernorth, would begin trading on the Nasdaq Global Market on October 12, with its Class A common stock and warrants listed under the symbols XRPN and XRPNW, respectively. Armada II’s common stock, warrants, and units would cease trading that day, with holders exchanging them for the corresponding Evernorth securities on a 1:1 basis.

According to the official announcement, at closing the company held approximately 473 million $XRP and raised approximately $300 million in gross cash proceeds, before transaction expenses. Investors include Ripple, Arrington Capital, SBI Group, Pantera Capital, Kraken, and GSR, among others. Evernorth describes itself as a publicly listed XRP treasury company and says it will deploy funds in XRP ecosystem activities such as lending, liquidity, and settlement, in accordance with the disclosure and governance standards applicable to public companies. It is scheduled to participate in the Nasdaq closing bell ceremony on October 14. CEO Asheesh Birla said the goal is to build an actively managed XRP treasury that supports ecosystem growth and increases the XRP exposure represented by each share. Arrington Capital founder Michael Arrington also said the move brings large-scale capital and public-company standards to XRP infrastructure. This approach offers XRP exposure through equity; it does not mean that the $XRP token is being listed directly on Nasdaq. Trading on the first day, the pace of disclosures, and treasury management arrangements remain to be seen.
