Strategy set Oct. 28 as the date for a special meeting of shareholders to vote on a proposal aimed at adopting a daily mechanism for the accrual of dividend entitlements for four of its listed preferred securities in the United States.

The proposal includes STRF, STRC, STRK, and STRD. It amends the existing dividend payment schedules so that each calendar day becomes a dividend entitlement accrual date. If the Board declares a dividend, the payable amount will be paid on the next business day, including dividends accrued during weekends and public holidays.

The meeting is scheduled to be held virtually at 10:00 a.m. Eastern Time. Common shareholders who held eligible shares in Strategy at the close of trading on September 25 will be entitled to vote on the proposal.

Holders of STRF, STRC, STRK, and STRD are not entitled to vote on the amendment through their ownership of these securities. Common Class A shares carry one vote per share, while Class B shares grant ten votes per share.

Strategy confirmed that the proposal does not include any changes to the current dividend distribution rates, and it is not expected to affect the company’s total dividend-related obligations or the basic protective rights of preferred shareholders, except for changing the payment cadence.

The company currently pays quarterly dividends on STRF, STRK, and STRD, while STRC uses a semi-monthly dividend schedule. The fixed annual dividend rates are 10% for STRF, 8% for STRK, and 10% for STRD, whereas STRC’s variable rate is currently 12% for semi-monthly periods that began after September 16.

Strategy believes that adopting a daily distribution system could help reduce the time delay in reinvesting dividends, while also supporting liquidity, trading efficiency, and price stability, noting that these outcomes represent expected benefits and not guaranteed results.$ID
