Bitwise’s NEAR spot ETF (ticker: NRR) has completed the final steps of the pre-listing process: on September 16, it filed the final amended S-1 and it became effective; on September 24, it completed its listing registration on the NYSE Arca via Form 8-A. The final prospectus was posted on EDGAR at the same time, and market expectations are that trading will begin as early as September 29. This is the first NEAR spot ETF in the United States.

But what’s truly worth looking at isn’t the “first one”—it’s the structure in the prospectus. It’s not just about holding the coins. Instead, it takes all the NEAR and stakes it. The manager then takes about 33% from staking rewards, and the remaining ~67% goes into the trust—this distribution ratio is fixed in the document. The annualized management fee is 0.75%, which is on the higher side among spot crypto ETFs. The valuation benchmark is the CME CF NEAR reference price.

I tend to believe that the highlight of the first week won’t be the inflow numbers, but the actual creation of the subscription baskets. The prospectus discloses only 8 shares and $200 in seed capital prior to listing. The seed basket—set at about 20,000 shares (around $500,000)—is established only when the program officially begins. This scale suggests the issuer is cautious about first-day demand. Meanwhile, NEAR itself moved from around $2.34 on September 17 to $5.4 on September 27—an increase of roughly 130% in ten days. Even before the ETF opens, the bullish move has already been traded through a full round of “good news.” The familiar problem with altcoin ETFs is expectation-driven trading: they rally at the announcement, but without sustained subscriptions after listing, they revert back to fundamentals.

Next, watch for three things: whether there are continuous net subscriptions during the first week—not just a one-time build; after deducting the 33% staking-reward take, how much actual annualized yield remains; and whether the 2030 scenario price provided by Bitwise in the prospectus (base 155, optimistic 562, pessimistic $1.63—the range difference is over three hundred times) will be repeatedly used as marketing material. Since the issuer itself sets the price forecasts, that process is worth discounting.
