Circle co-founder P. Sean Neville has resigned from the company’s board of directors, reducing the number of directors from eight to seven. Chief Financial Officer Jeremy Fox-Geen, for his part, announced his intention to step down no later than December 31, 2026, or earlier if a successor is appointed. These two leadership changes, disclosed in an 8-K filing, were described by Circle as routine board renewal and were not the result of any operational dispute. Fox-Geen, who joined the company in May 2021, will remain in place during the transition, while Circle is engaging an executive search firm to find his replacement. Upon his departure, Fox-Geen will receive $1.05 million in monthly installments over 12 months, subject to compliance with restrictive covenants.

Circle’s Class A shares closed at $89 on September 25, down from $93 in the prior session, before falling to approximately $87.37 in after-hours trading. The announcement came a few days after Binance finalized a $100 million investment in Circle and entered into a five-year commercial agreement regarding USDC.
