Key takeaways

  • bStocks are tokenized securities on Binance, each of which is backed 1:1 by a U.S. share held with a regulated custodian.

  • You can trade these 24/7 on the Binance spot market, and settlements typically take place in less than a second—without T+1 settlement periods.

  • As BEP-20 tokens on the BNB Smart Chain network, bStocks support self-custody and can be used in decentralized finance (DeFi) protocols, allowing bStocks to be applied in staking, lending, and other activities.

  • Corporate actions, such as dividend payments and stock splits, are processed automatically using an on-chain mechanism called Multiplier.

  • Users can gain fractional access to U.S. shares starting from as little as $5.

Introduction

Traditionally, buying and selling shares comes with limitations: limited market hours, multi-day settlement periods, and reliance on centralized brokers for asset custody. Tokenization offers a way to remove some of these limitations by representing traditional financial instruments as tokens on the blockchain.

bStocks are tokenized securities available on Binance that enable users to access U.S. shares using blockchain technology. Each bStock is collateralized 1:1 by the corresponding U.S. share held by a regulated custodian.

What are bStocks?

bStocks are tokenized securities issued by BTech Holdings Limited, an affiliated company of the Binance group. They are classified as Certificates representing certain Financial Instruments (Paragraph 92, Appendix 1 to FSMR) and represent a claim in respect of the underlying securities held by the issuer.

It’s important to note that bStocks do not provide access to direct ownership of the underlying company’s shares. Instead, they provide access to the price dynamics and economic benefits of the underlying share, such as dividend reinvestment. Each bStock is fully collateralized by a real U.S. share held by a regulated custodian. This collateral can be verified at any time on the Binance Proof of Collateral page.

How do bStocks work?

24/7 trading and instant settlement

Unlike traditional stock exchanges that operate during set business hours, bStocks can be traded around the clock on the Binance spot market. Transactions are settled in less than a second, eliminating T+1 settlement periods and the need to wait for the next trading session.

1:1 collateralization and conversion

Each bStock is collateralized 1:1 by the corresponding U.S. share held by a regulated custodian. Eligible users can convert the shares and corresponding bStocks on a 1:1 basis with no conversion fee. This service is provided by Nest Trading Limited and is generally available 24/7, but it may be temporarily paused during corporate action processing or technical maintenance.

Self-custody and DeFi compatibility

bStocks are standard BEP-20 tokens on the BNB Smart Chain network, meaning you can withdraw them to any compatible crypto wallet for self-custody. You are never tied to a single broker.

bStocks are also integrated with BEP-677 (Scaled UI Amount), a token standard designed for native support of real-world assets (RWA) on the BNB Smart Chain network. This enables bStocks to be used in a variety of DeFi protocols.

Fractional access

You can start building a bStocks portfolio for as little as $5, making access to U.S. shares more accessible to a wider range of users.

How are dividends and stock splits handled?

Corporate actions are processed automatically using an on-chain rebase mechanism called Multiplier. No action is required from your side.

Dividends

When the underlying company pays dividends, the net dividend amount is automatically reinvested into the underlying share. Your bStock balance increases proportionally through an adjustment to Multiplier.

Dividends are subject to applicable withholding tax in the U.S. (currently 30%) before reinvestment. Cash is not distributed. The benefit is reflected through proportional increases in your bStock balance using the Multiplier mechanism. The net dividend amount is generally credited before the traditional payment date and applies to each fraction you own.

Stock splits

Your bStock balance is automatically adjusted according to the new share ratio. For example, in a 2-for-1 split, the number of your tokens doubles and the price per token is halved.

During the processing of corporate actions, deposits, withdrawals, and conversions may be temporarily suspended. Users will receive advance notice in the app. Spot trading is generally not paused for dividend processing.

How can I access bStocks?

1. Buy bStocks directly on Binance Spot

Go to [Spot] > [bStocks], select the token you want to buy, and trade it like any other crypto asset. bStocks spot trading is available 24/7.

Deposits and withdrawals

bStocks deposit

A bStocks deposit works according to the same principle as a standard crypto deposit:

  • Find the tokenized share you want to deposit (e.g., TSLAB).

  • Select BNB Smart Chain (BSC) as the network.

  • Copy your deposit address and send the tokens from your external wallet.

Important: currently, only BNB Smart Chain is supported. Sending tokens through any other network may result in the loss of funds.

Withdraw bStocks

You can withdraw bStocks to any compatible BNB Smart Chain wallet for self-custody. A network fee is charged to cover BSC transaction costs, and the minimum withdrawal amount depends on the token. Withdrawals are subject to transfer limitations, smart-contract controls, sanctions checks, and applicable law.

Accuracy and rounding

Shares on the platform are accounted for to 9 decimal places, while bStocks support up to 8 decimal places. When converting, any remaining fractional amount beyond 8 decimal places cannot be tokenized and is retained by the issuer as a rounding difference. This is not a fee or charge.

Integration with third parties

Third-party platforms and DeFi protocols may integrate bStocks, but they are responsible for complying with geographic restrictions. Binance provides a public REST API with a country compliance-check endpoint that integrators can use to verify whether a jurisdiction is allowed. The issuer reserves the right to blacklist wallet addresses that may violate applicable law, smart-contract control requirements, or sanctions.

Risks and specifics

Like any financial product, bStocks involve risks that users should carefully assess:

  • Market risk: the value of bStocks may fluctuate depending on the price of the underlying share.

  • Liquidity risk: trading volumes may vary, which may potentially affect your ability to buy or sell.

  • Issuer and custody risk: bStocks depend on whether the issuer and the regulated custodian support proper collateralization.

  • Regulatory risk: the availability of bStocks depends on approval by regulatory authorities and may change.

  • Technology and operational risk: issues with smart contracts, network outages, or technical maintenance may temporarily affect the services.

  • Tax risk: withholding taxes at source and other tax obligations may apply.

  • Geographic restrictions: bStocks are available in not all jurisdictions and are not offered to U.S. persons.

Before trading, users should review the applicable Prospectus (available only when you are in ADGM), the Terms of Use, the Exchange Rules (including Exchange Procedures), the Admission to Trading Notice, the Product Terms for minting and redemption, and the Risk Warning.

Frequently asked questions

What are bStocks?

bStocks are tokenized securities issued by BTech Holdings Limited, an affiliated company of the Binance group. Each bStock is collateralized 1:1 by a real U.S. share held by a regulated custodian. They are BEP-20 standard tokens on the BNB Smart Chain network, so they can be traded on Binance spot or withdrawn for self-custody.

Is this the same as owning shares directly?

No. bStocks are not direct ownership of the underlying company's shares. They provide access to price dynamics and economic benefits such as dividends, but they are structured as Certificates representing specified Financial Instruments, not as direct ownership of an equity stake.

How are dividends paid on bStocks?

Dividends are not paid in cash. Instead, the net dividend amount is automatically reinvested into the underlying share, and your bStock balance increases proportionally through the Multiplier mechanism. A withholding tax in the U.S. applies before reinvestment (currently 30%).

Can I withdraw bStocks to my own wallet?

Yes. bStocks can be withdrawn to any compatible BNB Smart Chain wallet. Currently, only BNB Smart Chain is supported. Sending tokens through another network may result in irreversible loss of funds. A network fee is charged, and the minimum withdrawal amount depends on the token.

Who can access bStocks?

bStocks are available in not all jurisdictions and are not offered to U.S. persons. Before attempting to access or trade bStocks, users should check the current eligibility requirements on Binance. Binance provides a public REST API with a country compliance-check endpoint for third-party integrators.

Conclusion

bStocks bring traditional share access on-chain through tokenization. By combining collateral held with a regulated custodian and automatic processing of corporate actions with blockchain-native features—24/7 trading, instant settlement, and DeFi compatibility—bStocks aim to bridge the gap between traditional finance and crypto.

However, they are not without risks. As with any financial product, it’s important to understand the product structure, review all applicable terms, and assess your own risk readiness before getting started.
