The SEC takes a key step toward the tokenization of U.S. equity markets
On September 17, 2026, the SEC published its “Innovation Exemption”: a temporary regulatory exemption (5 years) allowing approved platforms—“Tokenized Securities Venues” (TSV)—to trade tokenized exchange-listed stocks via automated market makers (AMMs), without having to register as an exchange.
What this order concretely provides:
* The tokens must represent an actual holding of the underlying security, with the same rights as a conventional share: dividends and voting rights. Synthetic tokens (price exposure without actual holding) are explicitly excluded.
* Smart contracts must be deployed on public, auditable blockchains, but access to the platforms remains permissioned (KYC and OFAC sanctions compliance).
* Issuers retain a right to object if an unaffiliated third party wants to tokenize their shares.
* A parallel exemption covers liquidity providers in AMM pools, under the definition of “dealer.”
The regulatory context is illuminating: this decision comes just two days after the Clarity Act failed in the Senate—a bill intended to provide a clear legislative framework for digital assets. In the absence of legislation, SEC Chair Paul Atkins chooses to move forward using the agency’s existing statutory authority, in line with the “Crypto Project” launched a little more than a year ago.
Why it’s significant: this is the most concrete convergence between traditional equity markets and blockchain infrastructure since the approval of spot Bitcoin ETFs. We move from isolated pilots (Nasdaq and others) to an explicit federal framework for on-chain trading of real-world securities—along with, by implication, a clarification of what distinguishes “legitimate” tokenization from synthetic stock tokens that some crypto players have already offered.
The order remains subject to public comment. To be closely watched by everyone working on the convergence between traditional finance and digital assets.
