The company may raise funds as needed by issuing newly issued common shares to Chardan Capital Markets, with proceeds intended for general corporate purposes, including potential purchases of HYPE. After aggregate share sales under the facility reach $1.0 billion, any additional shares issued at less than $12.02 per share are generally subject to a cap of 42,641,847 shares, equal to 19.99% of the company’s shares outstanding immediately before the amendment, unless shareholder approval is obtained or otherwise not required under Nasdaq rules.
