I went digging. Back in April 2021, Binance indeed launched tokens for Tesla, Apple, Microsoft, and Coinbase—but they were issued by an outside German broker, CM-Equity, without a proper issuance prospectus. Regulators in Germany (BaFin) and the UK (FCA) ruled it was an illegal offering of securities. The product was shut down the very next July—exactly three months later.
Now let’s compare that to what exists today. bStocks issues through not some third-party broker, but BTech Holdings—Binance’s own regulated structure in ADGM, with an officially approved prospectus by FSRA. The shares are held in a separate segregated account, not somewhere with a third-party company. Trading isn’t “around” the rules, but on a licensed exchange—NEST Exchange—with an official listing in the ADGM register.
So this is a completely different legal structure, built precisely on what was missing back in 2021.
Honestly: a license isn’t a guarantee that the regulator will never change its mind. But starting with a prospectus and a custody account is a completely different level of readiness than starting without them.
