🧩Why bStock is not a “stock in blockchain”?
Here, the legal structure is what matters.
Binance explicitly states: bStocks are Certificates representing certain Financial Instruments, not direct ownership of shares in a company.
What does this mean in practice?
A bStock holder receives economic exposure to the price movements of the underlying stock and a mechanism related to dividends, but they do not become a direct shareholder of the company.
For example, $SKHYB is associated with SK Hynix shares and is backed by them 1:1. But the token itself is a certificate, not an SK Hynix share. So you shouldn’t automatically transfer all the legal rights of a regular shareholder to bStock. (Binance)
And this, in my opinion, is the key difference between a “tokenized share” in everyday understanding and the real legal structure of bStocks.
A token may mirror the economic link to a stock, but that does not mean it is legally the same as the stock.
