Back then, I understood very clearly: traditional offshore finance is designed not for ordinary people.
Then Binance bStocks appeared in my life. But it’s important to get the “i” dots and “t” crosses right here—this is not a classic company stock.
It’s a certificate, meaning it’s legally a completely different construct. Under paragraph 92 of Schedule 1 to the FSMR, bStocks are officially classified as a Certificate representing Financial Instruments.
It’s issued by BTech Holdings Limited, an affiliate of the Binance ecosystem, under the ADGM/FSRA regulatory framework.
To make it easier to understand, imagine a receipt from a luggage storage locker. It confirms that your item is in the safe.
But that receipt doesn’t make you the owner of the locker itself. Similarly, bStocks give me economic exposure to the real price of a U.S. share and automatic dividend reinvestment.
However, they do not grant voting rights at shareholders’ meetings.
For me, ease of access and one-click speed turned out to be more important than the lack of voting rights. I finally got direct access to the global financial market that previously seemed closed.
