Following the previously released announcement on the 'Latest Developments in Binance's Global Operations Transfer to Abu Dhabi Global Market (ADGM)' announcement, it has now been confirmed that the relevant changes will take effect and will apply from January 5, 2026, at 16:00 (UTC+8).

This update covers the changes in regulation, contracts, liquidation, and custody mentioned earlier, aimed at enhancing the platform's transparency, oversight, and risk management.

1. New Structure Regulated by Abu Dhabi Global Market

From January 5, 2026, Binance platform services will be provided through three entities licensed by ADGM, with each entity performing specific roles according to their regulatory permissions:

  • Nest Exchange Limited: acting as an 'approved investment trading platform (licensed to operate a multilateral trading facility)' - responsible for all trading platform-related activities, including spot and derivative trading.

  • Nest Clearing and Custody Limited: acting as an 'approved clearing house (licensed to provide custody services)', responsible for clearing and settlement - serving as the central counterparty for derivative trading on the trading platform, ensuring the safety of users' digital assets.

  • Nest Trading Limited: acting as a 'broker dealer' - responsible for over-the-counter trading activities and proprietary services (e.g., over-the-counter trading, instant exchanges, wealth management).

This structure essentially echoes the regulatory frameworks of traditional finance, strengthening risk control through separation of duties and establishing clear user protection mechanisms.

2. Change of Binance Service Providers

To align with the new regulatory structure, we have updated the agreement arrangements with users.

Previously, all Binance services were primarily provided by Nest Services Limited (which will be renamed 'Nest Exchange Limited' after licensing). From January 5, 2026, these Binance services will be provided by Nest Exchange Limited, Nest Clearing and Custody Limited, and Nest Trading Limited.

The rights and obligations under the existing (terms of use) have been replaced by the corresponding ADGM entities, and users will continue to maintain contractual relationships with the ADGM regulatory entities for the services they provide. Specific product terms will also be updated to clarify the service providers responsible for that product/service under the new structure.

3. Change of Binance Data Management Entities

From January 5, 2026, each ADGM-regulated entity will act as the data management entity for the services it provides. Please refer to ourPrivacy FAQs for more information.

4. Updated Terms of Use and Privacy Statement

As part of this change, we have updated the terms of use and privacy notice to replace the previous versions.

You can also click the confirmation button for the updated terms displayed on the account page to confirm your agreement to the transfer of rights and obligations and to accept the updated terms. Continuing to use the services from January 5, 2026, will also be considered as your acceptance of these changes.

5. Liquidation and Custody Arrangements

From January 5, 2026, at 16:00 (UTC+8), the open positions of users in derivative trading on the trading platform will be 'transferred' to Nest Clearing and Custody Limited for liquidation. Nest Clearing and Custody Limited will also act as the central counterparty and custodian of users' digital assets. At the same time, Nest Clearing and Custody Limited will be the custodian of users' digital assets, but will comply with the limited exceptions described below.

The following assets will continue to be held by Nest Exchange Limited:

  • User assets frozen by court or relevant authorities' orders issued before January 5, 2026, at 16:00 (UTC+8) will continue to be held by Nest Exchange Limited as directed by the authorities.

  • Accounts of Canadian resident users set to withdrawal-only mode will also continue to be held by Nest Exchange Limited until further notice.

The aforementioned exceptions do not affect the validity of the aforementioned liquidation or custody arrangements.

6. The Impact of These Changes on You

The above changes involve adjustments to Binance's regulatory and legal framework, but the daily use on the platform will essentially remain unchanged:

  • You will continue to access the platform using your existing UID and login information.

  • Balances, order history, and trading functions will not be affected.

  • The products and services available to you will remain unchanged, only provided by different Binance regulatory entities.

  • Your existing orders and positions will also remain open and unaffected in substance, but may be transferred to Binance-related regulatory service providers.
