Dear users:
We are pleased to announce that Binance has obtained full regulatory authorization from the Abu Dhabi Global Market (ADGM) Financial Services Regulatory Authority (FSRA) and will operate its global platform under a comprehensive and internationally recognized regulatory framework. This marks an important step in our long-standing commitment to building a trustworthy, transparent, and robust global cryptocurrency platform.
In accordance with the requirements of the ADGM FSRA, our operations will transition to a new regulatory framework aimed at enhancing the platform's transparency, oversight, and risk management.
1. New Abu Dhabi Global Market regulatory framework
From January 5, 2026, at 16:00 (UTC+8), Binance services will be provided through three ADGM licensed entities, each playing a specific role based on their regulatory authorization:
Nest Exchange Limited: as an "approved investment trading platform (licensed to operate a multilateral trading facility)"—responsible for all trading platform-related activities, including spot and derivative trading.
Nest Clearing and Custody Limited: as an "approved clearing house (licensed to provide custody services)", responsible for clearing and settlement—serving as the central counterparty for the trading platform's derivative trading and ensuring the security of users' digital assets.
Nest Trading Limited: as a "broker-dealer"—responsible for over-the-counter trading activities and proprietary services (e.g., OTC trading, instant exchange, wealth management).
This framework essentially mirrors the regulatory framework of traditional finance, enhancing risk control through the separation of duties and establishing a clear user protection mechanism. In other words, from trade matching, clearing and settlement, to asset custody, each step will operate under precise, dedicated regulatory authority.
2. Changes to Binance service providers
To align with the new regulatory framework, we are updating our agreement arrangements with users.
Previously, all Binance services were primarily provided by Nest Services Limited (which will be renamed to "Nest Exchange Limited" upon licensing). From January 5, 2026, these Binance services will be provided by Nest Exchange Limited, Nest Clearing and Custody Limited, and Nest Trading Limited.
To expedite this transition, under the substitution clause in the current (Terms of Use) (Section 36.5), the rights and obligations of Binance.com users under the existing (Terms of Use) will automatically be substituted by the corresponding ADGM entities. This means that from January 5, 2026, you will continue to maintain a contractual relationship with the ADGM regulatory entities regarding the services they provide.
Product-specific terms will also be updated to clarify which service provider is responsible for the product/service under the new framework.
3. Changes to Binance data controllers
From January 5, 2026, at 16:00 (UTC+8), each ADGM-regulated entity will act as the data controller for the services they provide.

4. Updated Terms of Use and Privacy Notice
As part of this transition, we are updating the Terms of Use and Privacy Notice. The updated documents will take effect on January 5, 2026, replacing the current versions.
We are now sharing the updated Terms of Use and updated Privacy Notice with you for your review before the effective date.
You may also click the confirmation button displayed on the account page to confirm your agreement to the transfer of rights and obligations and acceptance of the updated terms. Continuing to use the service from today will also be deemed as your acceptance of these changes.
5. Clearing and Custody Arrangements
From January 5, 2026, users' open positions in derivative trading on the trading platform will be "transferred" to Nest Clearing and Custody Limited for clearing. Nest Clearing and Custody Limited will also act as the central counterparty and custodian of users' digital assets.
6. These changes will affect you
These changes involve the regulatory framework and are not intended to alter your interaction with the platform.
Your daily use of the platform will remain largely unchanged:
You will continue to use your existing UID and login credentials to access the platform.
Balances, order history, and trading functionalities will remain unaffected.
The products and services available to you will remain unchanged, only provided by different Binance regulatory entities.
Your existing orders and positions will also remain open, essentially unaffected, but may be transferred to Binance-related regulatory service providers.
