Capital Introductions - Risk Warning

A. How to interpret this Risk Warning

All terms and references used in this Agreement that are not defined herein shall have the meaning given to them in the Binance Terms of Use, as updated from time to time (the “Terms of Use”). This Risk Warning for Capital Introductions shall be supplemental to and is to be read together with the Terms of Use as well as the:

(a) Capital Introductions Terms for Investors

(b) Capital Introductions Terms for Investment Managers

B. Capital Introductions

This Risk Warning provides you with information about the risks associated with Capital Introduction. Each Binance Service has its own distinct risks. This Risk Warning provides a general description of the risks when you use Capital Introductions.

This Risk Warning does not explain all of the risks or how such risks relate to your personal circumstances. It is important that you fully understand the risks involved before making a decision to use Capital Introductions.

C. No Personal Advice

We do not provide financial advice in relation to Capital Introductions. No communication or information provided to you by Binance is intended as, or shall be considered or construed as, investment advice, financial advice, trading advice, or any other sort of advice. You are solely responsible for determining whether any investment, investment strategy or related transaction is appropriate for you according to your personal investment objectives, financial circumstances and risk tolerance.

You will be responsible for ensuring that your use of the Capital Introductions Program is compliant will all applicable laws and regulations that govern your circumstances. Binance will not be liable for any regulatory or legal claims, enforcement or actions that are brought against you in relation to your participation in Capital Introductions. You agree to use Capital Introductions in a manner compliant with all applicable laws and to take your own independent legal advice. 

D. No Monitoring

Binance is not your broker, intermediary, agent, or advisor and has no fiduciary relationship or obligation to you in connection with any trades or other decisions or activities undertaken by you using Capital Introductions. We do not monitor whether your use of Capital Introductions is consistent with your financial goals and objectives. It is up to you to assess whether your financial resources are adequate for your financial activity with us, and to your risk appetite in the products and services you use.

E. Market Risks

Virtual Asset trading is subject to high market risk and price volatility. Changes in value may be significant and may occur rapidly and without warning. Past performance is not a reliable indicator of future performance. The value of an investment and any returns can go down as well as up, and you may not get back the amount you move forward with investing.

F. No Fees & Charges

We do not have any fees or charges applicable to your use of the Capital Introductions Program. 

G. Availability Risk

We do not guarantee that Capital Introductions will be available at any particular time or that the platform will not be subject to unplanned service outages or network congestion. 

H. Third Party Risk

Third parties, such as managers, fund operators, and fund accountants may be introduced to you via the provision of Capital Introductions. You may be subject to the terms & conditions of these third parties, and Binance will not be responsible for any loss that these third parties may cause to you.

You acknowledge and agree that all information relating to performance of the Investment Managers is provided by third party Investment Managers, and may be verified by their respective Fund Administrators. However, Binance is not responsible for validity or accuracy of the information and Investors are strongly advised to conduct full due diligence before investing and shall be solely responsible for their investment decisions. You assume full responsibility and risk of loss resulting from or relating to all such information.

I. Security Risk

It is not possible for Binance to eliminate all security risks. You are responsible for keeping your Binance Account password safe and for all the communications through Capital Introductions whether you authorised them or not. 

J. Legal Risk

Changes in laws and regulations may materially affect the availability of Capital Introductions. This risk is unpredictable and may vary from market to market.
