The crypto payment service provider MoonPay has announced that it will acquire the SEC-registered broker North Capital in an all-stock transaction, investing $60 million. The deal is still subject to SEC anti-monopoly review. The all-stock issuance will dilute MoonPay’s existing shareholders’ equity. So far, both parties have not disclosed the specific post-transaction equity structure or the license integration timeline. If the transaction is approved, MoonPay will directly obtain a U.S. compliant securities-type crypto asset broker-dealer license, enabling it to legally provide retail distribution services for compliant financial products related to BTC and ETH.
