General

1. These are the Terms and Conditions for the 2022 BIG BINANCE APE Giveaway (“Promotion”). Information on how to enter and win Prizes form part of the Terms and Conditions of Entry. Entry into this Promotion is deemed acceptance of these Terms and Conditions. 

2. To the extent of any inconsistency between these Terms and Conditions and any other reference to this Promotion, these Terms and Conditions prevail. 

3. The promoter is Investbybit Pty Ltd ACN 621 652 579, 315 Brunswick Street, Fortitude Valley QLD 4006  (“Company”)

4. Entry is only open to Australian residents (excluding South Australia and ACT residents) who are over the age of 18 and who have fulfilled the requirements set out below under “How to Enter” (“Eligible Entrant”).

How to Enter

1. To enter, an Eligible Entrant must complete one of the following options for a entry to the draw, during the Promotional Period (defined below):

Option 1 - If you do not have a Binance Australia account, you will receive an entry when you have completed the following- 

1. Successfully create a Binance Australia account at https://accounts.binance.com/en-AU/register?ref=APEGIVEAWAY (“Site”), including completing any Know Your Customer (KYC) identity verification on the Site; 

Option 2 - If you are an existing customer, you will receive an entry when you have completed one of the following- 

1. Make a trade on any crypto pair worth of $72 AUD ( equivalent to $50 USD) or more before the campaign ends; 

2. Make your first-time trade on any crypto pairs worth $15 AUD ( equivalent to $10 USD) or more before the campaign ends. This is only applicable for users who have not made a trade before; 

3. Refer five (5) new users to sign up on Binance Australia using their unique referral link; the new user must successfully have opened a Binance Australia account including completing any Know Your Customer (KYC) identity verification on the Site; 

4. Refer five (5) first-time users to purchase any crypto on Binance Australia; 

Open, Close, Draw and Publish dates

1. The Promotion starts on 11 July 2022 at 10:00 am and ends on 15 August 2022 at 09:59 am AEST (“Promotional Period”). 

Prize Draw

1. The draw will take place and will be announced on 28 August 2022. Each Eligible Entry will be designated a corresponding numbered ticket and a randomised draw will select fourteen (14) winners (the “Winner”) using a certified randomising tool from the pool of valid Entries.  

Prize 

1. The Winner will receive one of the listed NFTs below (“Prize”) and values are displayed on the table below. 

1. The Prize is not in any way transferable or exchangeable. Where the Prize is unavailable for any reason (including if the Prize is abandoned, varied, called off or postponed for any reason), the Company may substitute the prize in its discretion for another item of similar value (assuming the Winner has not elected to receive the cash prize alternative).

Unclaimed Prize

1. If for any reason the Winner does not take / redeem the Prize by the time stipulated by the Company, then the Prize will be forfeited.

2. Once the Prize has left the Company's premises or has been otherwise delivered to the Winner, the Company and their associated agencies take no responsibility for the Prize being damaged, delayed or lost in transit.

3. The Company accepts no responsibility for any tax liabilities that may arise from the Winner accepting the Prize in connection with the Promotion. 

Winner Notification Period

1. The Winner will be notified by an email from Binance Australia within fourteen (14) business days after the Promotional Period and the Winner must respond and claim his/her prize within fourteen (14) business days upon receipt of the notification email. The Winner acknowledges and consents to his/her Binance User ID being published on the official Binance Australia blog before 28 August 2022 as a way to notify the Winner. 

2. The Company takes no responsibility where it is unable to contact the Winner who has not provided correct or complete contact details. If an entrant’s contact details change during the Promotional Period, it is the Eligible Entrant's responsibility to notify the Company. A request to modify any entry information should be directed to the Company. 

3. A draw for any unclaimed prizes may take place on 18 August 2022 at the same time and place as the original draw, subject to any directions from a regulatory authority. The Winners, if any, will be notified in writing within fourteen (14) days of the draw and the Winner will receive an email from Binance Australia.  

4. The Company reserves the right, at any time, to verify the validity of entries and entrants (including an entrant’s identity, age and place of residence) and reserves the right, in its sole discretion, to disqualify any individual who the Company has reason to believe has breached any of these Terms and Conditions, tampered with the entry process or engaged in any unlawful or other improper misconduct calculated to jeopardise fair and proper conduct of the Promotion. Errors and omissions may be accepted at the Company's discretion. Failure by the Company to enforce any of its rights at any stage does not constitute a waiver of those rights. The Company's legal rights to recover damages or other compensation from such an offender are reserved.

5. The Company’s decision in relation to any aspect of the Promotion is subject to State and Territory legislation but also final and binding on each entrant. 

6. All entries and any copyright subsisting in the entries become and remain the property of the Company who may publish or cause to be published any of the entries received.

7. The Company (subject to State and Territory legislation) reserves the right to amend, cancel or suspend this Promotion if an event beyond the control of the Company corrupts or affects the administration, security, fairness, integrity or proper conduct of this Promotion. The Company will disqualify any individual who has tampered with the entry process or any other aspect of this Promotion. 

8. Nothing in these Terms and Conditions limit, exclude or modify or purports to limit, exclude or modify the statutory consumer guarantees as provided under the Competition and Consumer Act 2010 (Cth), as well as any other implied warranties under the ASIC Act or similar consumer protection laws in the State and Territories of Australia (“Non-Excludable Guarantees”). 

9. Except for any liability that cannot by law be excluded, including the Non-Excludable Guarantees, the Company (including its respective officers, employees and agents) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity); whether direct, indirect, special or consequential, arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the Company’s control); (b) any theft, unauthorised access or third party interference; (c) any entry or prize claim that is late, lost, altered, damaged or misdirected (whether or not after their receipt by the Company) due to any reason beyond the reasonable control of the Company; (d) any variation in prize value to that stated in these Terms and Conditions; (e) any tax liability incurred by the Winner or Eligible Entrant; or (f) use of the prize. 

10. If the Company does incur a liability to an Eligible Entrant which cannot legally be excluded, the Company’s liability in respect of the Promotion is limited, to either resupplying such goods or services as form part of the Promotion, or paying the cost of resupplying those goods or services, determined by the Company in its absolute discretion.

11. Under no circumstances should either the Company (or any of its suppliers or contractors) or the Eligible Entrant be liable for any loss or damage suffered which is indirect or consequential in nature, including without limitation any loss of profit, loss of reputation, loss of goodwill, or loss of business opportunity.
