Binance purchased 1,237,011 Class A shares of Circle at $80.84 per share, for a total investment of $100 million. The shares were issued through a private placement, and Binance has agreed to restrictions on transferring them for up to two years, subject to certain exceptions.

Under the new agreement, Binance will actively promote and integrate USDC across its platform.

Circle will pay Binance a monthly incentive fee linked to the amount of USDC held through Circle’s Modular Smart Contract Wallet infrastructure.
