🚀 🚀 🚀 The SEC has proposed “Regulation Crypto Assets,” its first major rulemaking designed specifically for crypto offerings.

The framework would create two registration exemptions: up to $5 million over four years for startup offerings, and up to $75 million per year under stricter disclosure, financial-statement and ongoing-reporting requirements. It also proposes a conditional safe harbor allowing a crypto asset to cease being treated as subject to an investment contract once specified conditions are met.

Why it matters: if adopted after public consultation, the rule could give U.S. builders a clearer fundraising path while retaining federal anti-fraud protections. This is a proposal, not final law.
