When a product is backed 1:1 by a share, it is natural to expect the same rights to come with it. Binance bStocks works a little differently: $TSLAB gives 1:1 price exposure to Tesla, but it is not a Tesla share.

A real share stands behind the bStock. Even so, holding $TSLAB does not make someone a Tesla shareholder or give them a shareholder vote.

That difference is practical: following a company’s share price and having a voice in the company are two separate things. It helps to know which one matters instead of looking only at the familiar ticker.

Would you have expected 1:1 backing to include shareholder rights too?
