$DELL had been on a tear — up 325% year-to-date, 309% in 12 months, hitting a fresh 52-week high of $595.51 on Sept 18. That momentum snapped Thursday.

*DELL closed at $536.02, down 2.51% (-$13.81)* on the day, underperforming the S&P 500 (-0.02%) and Dow (-0.31%). The stock traded as low as $530.45 on volume of 7.9M, about 6% below its average. It is now almost 10% off its high.

The trigger: a wave of insider filings that hit the tape Wednesday night.

- *Director Lynn Vojvodich Radakovich* sold 2,022 shares Tuesday at $565.28 for $1.14M, cutting her stake 7.41% to 25,267 shares. The sale was under a 10b5-1 plan.

- *Director Silver Lake Partners IV, L.P.* sold 7,994 shares Monday at $569.77 for $4.55M.

- *Director Silver Lake Partners V. De (AIV)* sold 26,553 shares Sept 17 at $585.91 for $15.55M, a 30.92% cut.

- *General Counsel Richard Rothberg* sold 4,000 shares Sept 17 at $583.36 for $2.33M.

- *CFO David Kennedy* unloaded 23,896 shares Sept 17 for ∼$13.5M at $584-$586.

- *CHRO Jennifer Saavedra* sold 25,251 shares Sept 4 at $520 for $13.1M.

- *CMO Geraldine Tunnell* sold 5,436 shares Sept 4 at $523.52 for $2.8M.

Together, four top executives alone sold ∼$31.7M in September. In the last 90 days, insiders have sold *2.09 million shares worth $1.07 billion*, according to SEC filings. 41.5% of the company is still owned by insiders.

That landed badly because Dell's run has been pure AI infrastructure euphoria. Q2 results on Sept 1 beat big: *$7.04 EPS vs $4.91 expected, revenue $46.97B vs $44.89B expected, up 57.7% YoY*. AI server revenue doubled YoY, backlog ballooned from $51.3B to *$95B*. The stock gained 17% just since Sept 1.

But valuation is stretched. Dell trades at 30.6x P/E, and even Morgan Stanley — which raised its target to $511 — kept an Equalweight, below the current price.

Insider selling doesn't automatically mean the top is in. Most of these were 10b5-1 planned sales, and insiders still hold huge positions — Rothberg still owns 132,415 shares worth $77M. But when a stock is up 191% in six months and hits $595, any director cashing out at $565-$585 is read as "taking chips off the table."

Traders did just that.
