Over recent months the Board of Northern Star Resources Ltd (ASX:NST) advised the market of the

appointment of new independent directors, Jeff Quartermaine and Terry Bowen. These appointments were

made as part of the Board’s succession planning process. On 12 August, Elliott Investment Management L.P.

released the names of six additional candidates whom it believed would enhance the Board. The Board

undertook at that time to evaluate Elliott’s recommended candidates in accordance with its normal processes.

As a result of that evaluation and after constructive discussions with Elliott Investment Management L.P.,

Northern Star is pleased to announce the appointment of Mark Cutifani CBE and Peter Rozenauers as

independent non-executive directors with effect from 1 October 2026. The Board will also recommend that,

along with the re-appointment of Jeff Quartermaine, Terry Bowen and Sally Langer, shareholders re-appoint

Mr. Cutifani and Mr. Rozenauers at the Company’s Annual General Meeting on 18 November 2026. Following

their appointment, Mr. Cutifani and Mr. Rozenauers will join the previously announced subcommittee chaired

by Mr. Quartermaine.

Mr Cutifani’s career spans almost five decades in mining and 40 years in senior executive and operational

roles across multiple jurisdictions including Australia, North and South America and Africa.

Mr Cutifani served as Chief Executive of Anglo American for more than 9 years during which time he led

significant restructuring and performance improvements across the group’s global operations. He has very

deep gold sector experience including through his role as Chief Executive Officer of AngloGold Ashanti which

he held for more than 5 years prior to taking the role of CEO of Anglo American.

Mr Cutifani holds a Bachelor of Engineering (Honours) degree from the University of Wollongong, was

awarded the AusIMM’s Institute Medal in 2022 and was appointed a Commander of the Order of the British

Empire (CBE) in the 2024 UK King’s New Year’s Honours List for contributions to global mining investment.

Mr Rozenauers, who is based in Sydney, is a mining engineer with 34 years’ experience in natural resources

investment management and trading. He is the immediate past Operating Partner and Managing Partner of

Orion Resource Partners having retired from Orion in June 2026. Mr Rozenauers remains a non-executive

member of the investment committee at Orion Mine Finance and Orion Industrial Ventures and is a nonexecutive director of Nasdaq listed Uranium Royalty Corporation.

Mr Rozenauers brings extensive experience in the global resource sector with 21 years of leadership roles in

global resource investing in Australia, Brazil, Canada, Northern Macedonia, Namibia, South Africa and the USA

across precious, base and industrial mineral projects.

Mr Rozenauers holds a Bachelor of Mining Engineering with First Class Honours from the University of New

South Wales and a Master of Business Administration in Applied Finance from the University of Technology

Sydney.
